TWT Terms of Service (General Provisions)

This Terms of Service (the “Agreement”) constitutes a legally binding agreement between you, or the entity you represent (hereinafter “you” or “your”), and TWT.com inc. (registered address: 3-212 Governors Square, 23 Lime Tree Bay Avenue, P.O. Box 30746, Seven Mile Beach, Grand Cayman KY1-1203, Cayman Islands; hereinafter “TWT” or “we”), governing your access to and use of the TWT platform provided by TWT (hereinafter the “Platform” or “TWT”). TWT aggregates multiple sub-products under its portfolio, including but not limited to Chat, Community, Mail, Message.
1.1 Method of Acceptance: By registering an account, clicking the “Accept” or “Agree” button, or by actually accessing or using any portion of the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement, including the general provisions, any applicable specific service terms, and TWT’s Privacy Policy. You are urged to read this Agreement carefully and fully understand all of its provisions, especially those relating to limitations or exclusions of liability, your rights and obligations, and dispute resolution. If you accept this Agreement on behalf of an organization (such as your employer), you represent and warrant that you have the legal authority to bind such organization, and that the organization agrees to comply with all terms of this Agreement.
1.2 Eligibility: You must be at least eighteen (18) years of age, or have reached the age of majority in your jurisdiction, to enter into a legally binding agreement. If you do not meet these requirements or do not agree to any part of this Agreement, you must not use the Services. TWT reserves the right, at its sole discretion, to refuse service to any individual or entity at any time.
2.1 Service Content: The TWT Platform provides an online suite of enterprise-level SaaS tools and related applications designed to offer clients integrated solutions for communication, collaboration, community interaction, and information sharing. The specific scope and features of the Services are as published on the official Platform website or product pages, as updated from time to time.
2.2 Access and Use: You may access the Services via TWT-supported browsers or mobile applications, and are responsible for providing and maintaining all necessary equipment, software, and network connections required to access and use the Services properly. You acknowledge and agree that TWT shall not be responsible for any service interruptions or degradation in performance resulting from your own equipment or network environment.
2.3 Modifications and Changes: TWT reserves the right to update, expand, modify, or discontinue any part of the Services at any time. For changes or policy updates that may materially affect your use of the Services, TWT will provide notice through service page announcements, email, and/or other reasonable means. Your continued use of the Services after receiving such notice constitutes your acceptance of the changes.
3. User Accounts and Responsibilities
3.1 Registration and Login: You may register an account using your email address or access the Services through third-party login methods supported by the Platform.
3.2 Accuracy of Information: You must ensure that the registration information you provide is truthful, complete, and promptly updated. If you provide false, inaccurate, or incomplete information, or fail to update such information in a timely manner resulting in any consequences, the Platform reserves the right to suspend or terminate your account and to pursue any related liabilities.
3.3 Account Security: You are responsible for safeguarding your account credentials (including but not limited to username and password) and shall be fully liable for all activities conducted under your account (including but not limited to data uploads, content postings, and fee payments). If you discover or have reason to suspect any unauthorized use of your account, security vulnerabilities, or other abnormal circumstances, you must promptly notify TWT and take necessary measures to mitigate potential risks. The Platform will assist you in addressing the issue, but shall not be liable for any losses resulting from your failure to notify us in a timely manner or from inadequate account security practices.
4. Data Processing and Privacy
4.1 Privacy Policy: The Platform’s Privacy Policy forms an integral part of this Agreement and details how we collect, use, disclose, store, and protect your personal data as well as data generated during your use of the Services. You are strongly encouraged to read and understand the Privacy Policy carefully.
4.2 User Data: All data you input, store, transmit, or otherwise process while using the Services (hereinafter referred to as “User Data”) shall remain the property and under the control of you or your organization. TWT does not claim any ownership rights. You hereby grant TWT a worldwide, non-exclusive, royalty-free, transferable license to host, transmit, display, process, copy, back up, and use the User Data solely to provide, maintain, protect, and improve the Services and to fulfill obligations under this Agreement.
4.3 Data Processing Authorization: You understand and agree that, in order to provide the Services, the Platform may need to access, process, and analyze User Data. The Platform shall strictly comply with applicable data protection laws and regulations, including but not limited to the Singapore Personal Data Protection Act 2012 (“PDPA”), as well as the Platform’s Privacy Policy when processing User Data.
4.4 Cross-Border Data Transfer: You understand and agree that, for the purpose of providing the Services, the Platform may process and store your data in Singapore or other jurisdictions. Any cross-border transfer shall be conducted in accordance with the PDPA and other applicable laws, ensuring that the data recipients provide protection standards equivalent to the PDPA and implement appropriate security measures to safeguard your data.
4.5 Data Breach Notification: In the event of, or upon suspicion of, a personal data breach that has caused or may cause significant harm, the Platform shall promptly notify the Personal Data Protection Commission (PDPC) of Singapore in accordance with the PDPA and related regulations, and inform affected users within a reasonable timeframe.
5. Fees and Payment
5.1 Free Trial: TWT may offer free trial access for certain products or features. The duration, scope, feature limitations, and other specific rules of any trial shall be as specified on the relevant product page or otherwise notified by TWT. Upon the expiration of the trial period, if you do not choose a paid subscription, the related services may be automatically terminated or limited. Data you entered or custom settings made during the trial period will be retained for a reasonable period, and TWT may provide you with expiration reminders to the extent reasonably possible. If you do not complete the subscription within the retention period, TWT reserves the right to delete the relevant data or settings in accordance with applicable law and internal policies, and such deletion will be irreversible.
5.2 Subscription Plans: The Services offer various paid subscription plans, which may include different levels of functionality, service terms, and billing cycles. All fees are exclusive of applicable taxes (including but not limited to Goods and Services Tax, Value-Added Tax, sales tax, etc.), which you shall bear. TWT reserves the right to adjust subscription plans and prices at any time, provided that reasonable prior notice is given to you before any changes take effect.
5.3 Subscription Term: The term of a single subscription shall be determined based on payment confirmation and the applicable product page. Upon expiration of the subscription, if you wish to continue using the Services, you must renew or purchase a new subscription; otherwise, the Services shall automatically terminate at the end of the current subscription period.
5.4 Payment Methods: You agree to complete payments through third-party payment service providers cooperating with TWT. You understand and agree that your payment information will be submitted directly to such third-party providers and shall be subject to their terms and privacy policies. TWT does not directly handle or store your sensitive payment information (e.g., full credit card numbers, CVV codes) and shall reasonably select and supervise third-party payment providers for compliance.
5.5 Auto-Renewal: If your chosen subscription plan includes an auto-renewal feature, TWT shall clearly and prominently disclose the renewal frequency, fees, and cancellation method on the subscription confirmation page. Unless you cancel the subscription prior to the end of the current billing cycle following the provided instructions, your subscription shall automatically renew and be charged for each subsequent billing cycle according to the same plan. You may cancel auto-renewal at any time via your account settings or by contacting TWT customer support, and such cancellation shall take effect from the next billing cycle.
5.6 Subscription Cancellation: You may cancel your subscription at any time through the Services platform or by contacting TWT customer support at support@twt.com. Cancellation shall take effect at the end of the current billing cycle, during which you may continue to use the Services. From the next billing cycle onward, your account shall no longer be charged.
5.7 Refunds: Except as otherwise required by applicable law, fees paid are generally non-refundable. However, in the following circumstances, TWT may, at its sole discretion, refund all or part of the fees or provide other reasonable compensation:
a) Services are unavailable for an extended period due to reasons attributable to TWT;
b) Duplicate charges occur due to system errors or issues with payment channels;
c) Refunds are required by law or regulatory authorities.
6. User Conduct and Content Standards
6.1 Acceptable Use: You agree to use the Services solely for lawful, proper, and authorized purposes and to comply with all applicable laws and regulations, this Agreement, and any rules, policies, or guidelines issued by TWT from time to time.
6.2 Prohibited Conduct: When using the Services, you shall not engage in the following conduct, including but not limited to:
a) Uploading, posting, transmitting, or otherwise distributing any content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, vulgar, hateful, discriminatory, invasive of others’ privacy, or otherwise objectionable, or any content that may incite violence, hatred, religious conflict, or racial discrimination;
b) Uploading, transmitting, or otherwise distributing any content that infringes or may infringe any third party’s intellectual property rights, trade secrets, privacy rights, publicity rights, or other legal rights;
c) Intentionally distributing or transmitting any viruses, trojans, worms, malicious code, time bombs, or other programs that may damage, interfere with, disrupt, or gain unauthorized access to the Services, TWT systems, or third-party systems;
d) Attempting to access the Services or related systems, networks, or data without authorization, or engaging in hacking, port scanning, penetration testing, reverse engineering, or similar activities;
e) Interfering with or disrupting the normal operation of the Services, including but not limited to launching denial-of-service (DDoS) attacks, sending spam, abusing system resources, or creating excessive load;
f) Impersonating any person or entity, or misrepresenting or distorting your relationship with any person or entity;
g) Collecting, storing, using, or disclosing other users’ personal data without proper authorization;
h) Using the Services to send unsolicited bulk communications, including but not limited to spam, chain letters, advertisements, promotional messages, or phishing content;
i) Uploading, distributing, or promoting any content related to illegal gambling, terrorism, incitement of hatred, or false information;
j) Engaging in any conduct that violates the laws or public policies of the Republic of Singapore;
k) Any other conduct that TWT reasonably determines may adversely affect the Services, other users, or TWT.
6.3 Enforcement: If TWT has reasonable grounds to believe that you have violated this Section or engaged in any illegal, improper, or unauthorized conduct, TWT may immediately suspend or terminate your access to the Services and reserves the right to pursue any applicable legal remedies.
6.4 User-Generated Content: For any content you post, upload, transmit, or otherwise provide in public areas of the Services (such as community forums or public chat rooms) (“User-Generated Content”), you represent and warrant that you own the rights thereto or have obtained all necessary licenses or permissions. You hereby grant TWT a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to reproduce, modify, adapt, publish, translate, create derivative works of, distribute, publicly perform, and publicly display such User-Generated Content solely to the extent necessary to operate, promote, and improve the Services. You understand and agree that TWT has the right (but not the obligation) to review, monitor, edit, or remove any User-Generated Content that violates this Agreement or applicable law.
7. Third-Party Services
7.1 Third-Party Services and Integrations: The Services may integrate or include services, software, applications, payment channels, or other features provided by third parties (collectively, “Third-Party Services”). You acknowledge and agree that your use of any Third-Party Services is governed by their respective terms, conditions, and privacy policies, not this Agreement. TWT shall not be responsible for the availability, accuracy, functionality, security, or any damages arising from your use of any Third-Party Services. While we will make reasonable efforts to notify you in advance where practicable, you acknowledge and agree that TWT may, at its sole discretion, suspend, restrict, or disable access to any Third-Party Services or integrations within the Services, or remove them entirely, without notice and without liability to you, including but not limited to any loss of profits, revenue, data, goodwill, or other intangible losses. You assume all risks associated with using Third-Party Services.
7.2 Third-Party Confidentiality: You acknowledge and agree that, to provide and optimize the Services, TWT may share certain information with third-party service providers (including but not limited to user data and payment-related information). TWT will require these third-party service providers to maintain confidentiality of such information and to use it solely to the extent necessary to provide their services. TWT will take reasonable steps to ensure that third-party service providers comply with applicable data protection laws and regulations but shall not be directly liable for any breach by such third parties.
8. Intellectual Property
8.1 Company Rights: Except for User Data, the Services and all components thereof (including but not limited to software, code, designs, user interfaces, graphics, images, videos, audio, text, logos, trademarks, service marks, trade secrets, and all related content and technology) are owned by TWT.com inc. or its licensors and are protected under copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, adapt, distribute, sell, transfer, publicly display, publicly perform, create derivative works of, or otherwise exploit any part of the Services without the prior written consent of TWT.
8.2 Your License: TWT grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services during your subscription term in accordance with the terms and conditions of this Agreement. This license is solely for your internal business operations and may not be used for any commercial resale or distribution.
9. Complaints Handling
9.1 Complaint Notice: If TWT receives any complaint from any party regarding your activities while using the Services, TWT shall forward the key details of such complaint to the email address associated with your account within a reasonable time. You shall respond within ten (10) days from the date of receipt of the forwarded complaint and may communicate directly with the complainant or via TWT’s coordination channels.
9.2 Information Disclosure: TWT shall handle user information in accordance with the Personal Data Protection Act 2012 (PDPA) of Singapore and, in principle, shall not disclose your personal information to any third party without your consent. Notwithstanding the foregoing, TWT may disclose relevant information to the necessary extent in the following circumstances:
a) As required by applicable laws, regulations, or competent regulatory authorities;
b) To protect the legitimate rights and interests of the Services or other users, where disclosure is reasonably necessary;
c) With your explicit consent.
9.3 Principles of Complaint Handling: TWT shall handle all complaints fairly, impartially, and reasonably. Where there is clear evidence that a user has seriously violated this Agreement, applicable laws or regulations, or infringed upon the legal rights of others, TWT may take appropriate measures, including but not limited to requiring you to rectify the issue within a specified period, temporarily restricting certain functions, or suspending or terminating your access to the Services.
10. Disclaimer and Limitation of Liability
10.1 Disclaimer: To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis, without any express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, timeliness, or error-free operation. TWT does not warrant that the Services will meet all your requirements, operate without interruption, be timely, secure, error-free, or that the results obtained from the Services will be accurate or reliable. Your use of the Services is at your sole risk.
10.2 Limitation of Liability:
a) Indirect Damages: Under no circumstances shall TWT, its affiliates, directors, officers, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages (including but not limited to loss of profits, business interruption, loss of data, reputational damage, cost of substitute services, or other intangible losses), even if TWT has been advised of the possibility of such damages, whether based on contract, tort (including negligence), strict liability, or other legal theories.
b) Liability Cap: In any case, TWT’s total liability arising out of or related to this Agreement or the Services, regardless of the cause (including but not limited to contract, tort, warranty, or otherwise), shall not exceed the total fees actually paid by you to TWT for the relevant Services in the twelve (12) months preceding the event giving rise to the claim. If the Services are provided free of charge, TWT shall have no liability to you.
c) User Conduct: TWT shall not be responsible for any damages, losses, or liabilities arising from your improper use of the Services, violation of this Agreement, breach of any applicable laws or regulations, or infringement of third-party rights.
11. Indemnification
You agree to indemnify, defend, and hold harmless TWT, its affiliates, directors, officers, employees, agents, suppliers, and licensors from and against any and all claims, actions, losses, damages, liabilities, costs, and expenses (including, without limitation, reasonable attorneys’ fees and legal costs) arising out of or related to:
(a) your use of the Services;
(b) your breach of any term of this Agreement;
(c) your violation of any applicable laws or regulations;
(d) your infringement of any third-party rights, including but not limited to intellectual property or privacy rights; or
(e) the User Data you provide.
12. Termination of Agreement
12.1 Termination by You: You may stop using the Services at any time and request account deletion by sending a request to TWT’s support email at support@twt.com. TWT shall process your deletion request within a reasonable time after verifying your identity and completing any necessary procedures, in accordance with applicable law.
12.2 Termination by Us: If you breach any term of this Agreement, or TWT has reasonable grounds to believe that your conduct may cause harm to the Services, other users, or TWT, TWT may immediately suspend or terminate your account and access to the Services without prior notice. TWT reserves the right, at any time, to terminate provision of the Services to any individual or entity at its sole discretion. Upon termination of this Agreement, all provisions that by their nature should survive (including but not limited to Intellectual Property, Disclaimer, Limitation of Liability, Indemnification, and Dispute Resolution) shall remain in full force and effect.
12.3 Post-Termination Data Handling: Upon account deletion or service termination, TWT shall delete or anonymize your personal data within a reasonably necessary period, except for data that must be retained to comply with legal obligations or regulatory requirements.
13. Governing Law and Dispute Resolution
13.1 Governing Law: The formation, effectiveness, interpretation, amendment, supplementation, termination, enforcement, and dispute resolution of this Agreement shall be governed by the laws of the Republic of Singapore; in the absence of applicable provisions, commercial and/or industry practices shall apply.
13.2 Arbitration: Any dispute, controversy, difference, or claim arising out of or in connection with this Agreement, including questions regarding its existence, validity, interpretation, performance, termination, or breach, or any dispute relating to non-contractual obligations arising from this Agreement, shall be submitted to the Singapore International Arbitration Centre (“SIAC”) for arbitration in accordance with the then-effective SIAC Rules. The seat of arbitration shall be Singapore. A sole arbitrator, familiar with Singapore law, shall be appointed. The parties agree that the arbitration shall proceed under the expedited procedure as defined in the SIAC Rules, and the language of arbitration shall be English. The parties agree to comply with and enforce any award rendered in arbitration under this Agreement, and either party may apply to a court of competent jurisdiction for enforcement of such award. In addition, the prevailing party in any such arbitration and/or enforcement proceeding shall be entitled to recover its reasonable legal fees and costs. Any award shall be final, binding, and not subject to appeal.
13.3 Continuation of Performance: Except for the matters in dispute, both parties shall continue to perform their other obligations under this Agreement during the dispute resolution process.
13.4 Confidentiality: Unless required by law or necessary for the arbitration proceedings, both parties shall keep the arbitration proceedings and the content of the arbitration award confidential.
13.5 Severability: If any provision of this Agreement is held to be void, invalid, or unenforceable, such provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions of this Agreement.
14. Miscellaneous
14.1 Notices: TWT may provide notices to you via email, service page announcements, in-app messages, or other means deemed appropriate by TWT. You shall ensure that your registered email address is valid and capable of receiving emails. Unless explicitly stated otherwise, notices shall be deemed delivered upon sending.
14.2 Contact: If you have any questions, feedback, or require further assistance regarding this Agreement or the Services, you may contact us via our official email at support@twt.com, and we will respond and address your inquiries as soon as reasonably practicable.
14.3 Force Majeure: Neither party shall be liable for failure or delay in performing its obligations to the extent caused by events beyond its reasonable control, including natural disasters, acts of terrorism, riots, or war.
14.4 No Waiver: Failure or delay by either party in exercising any right under this Agreement shall not constitute a waiver of such right.
14.5 Entire Agreement: This Agreement, together with the incorporated Privacy Policy, any applicable specific service terms, and other rules or policies published by TWT from time to time, constitutes the entire agreement between you and TWT regarding your use of the Services and supersedes all prior oral or written agreements, understandings, and arrangements between the parties with respect to the same subject matter.
